Definitions

1. NMA - Nu Media Advantage (NMA Ltd) - Company Number 06486701.
2. The Client - a client who procured the services of NMA.
3. The Work - the services requested by the client, and any additional processes necessary to facilitate those services.
4. The Material - any material including source code, images and content (including text and graphics) created for the client, or provided to be included within the work.
5. The Website - The source code, database, and material combined to serve delivered content over the internet and/or intranet.

Terms and Conditions

1. Entering into a contractual agreement the client’s approval for work to commence acts as a contractual agreement between the client and NMA. Approval for the work to commence and / or payment of the advance fee indicates that the client accepts the terms and conditions outlined in this page.
2. Copyright: In situations where the client provides material they are legally responsible for ensuring that this material does not infringe any copyright. Certain images provided by NMA Ltd in the construction of the website may have been purchased under licence from stock image suppliers. These images are generally only licensed for use on a single website and may not be used in publicity material without prior written consent.
3. NMA Ltd Website Ownership: NMA Ltd will hold ownership of any material created for the client until payment of the final invoice. On full and final payment the client will own the material. NMA Ltd reserves the right to reuse portions of bespoke source-code if the situation arises.
4. Pay-per-month Work: In cases where work is undertaken on a month-by-month basis with an agreed hourly rate, each month's invoice must be paid in full before the next month's work commences. Payment may not be withheld on the basis of incomplete work, as the work has been undertaken on a pay-per-month basis, and will not be complete until the final month or part-month.
5. Right to withdraw the website: NMA Ltd will hold ownership of any material until full payment of the final / monthly invoice. In cases where payment is withheld by the client, NMA Ltd have the right to make any material unavailable until full payment of any outstanding invoices is made.
6. Domain names: Registered domain names shall be owned by NMA Ltd until full and final payment is received.
7. Search engine marketing: NMA Ltd cannot be held responsible for the client's search engine positioning. Page rankings in Search Engines are controlled by the search engines and not by us. While we can optimise your site for this we are unable to make any guarantees about the success of any search engine promotion activity.
8. Costings: The price quoted to the client is for the work agreed on the quotation only. Should the client decide that changes are required after work on the website commences then we will accept these changes with the provision that additional changes may have to be negotiated.
9. Future support: The website is provided to and accepted by the client as a fully functioning completed work. NMA is not responsible for future support. This support can be provided upon request and for an agreed fee as part of a maintenance contact. No guarantee of future support is given unless an ongoing support package is negotiated.
10. Uptime and downtime: NMA cannot be held responsible for any downtime of your website due to technical problems with hosting servers. In the event of downtime ever occurring, we cannot be held responsible for any loss of time or business as a result of the downtime.
11. Clause Waive: NMA have the right to waive any of these terms on an individual basis this shall not affect the validity of remaining clauses or commit NMA to waive the same clause on any other occasion.
12. By agreeing to these terms and conditions your statutory rights are not affected.
